Welcome to TaskHub LLC. Please read these Terms of Use ("Terms") carefully before using our website, platform, application, and associated services (collectively, the "Platform").

By accessing or using the Platform, you ("User," "Client," or "Freelancer") agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

1. Nature of the Platform

TaskHub LLC is a software-as-a-service (SaaS) marketplace that provides technology tools to facilitate task management, milestone tracking, and collaboration between independent businesses or individuals purchasing services ("Clients") and independent service providers ("Freelancers").

Important Legal Disclaimer:

TaskHub LLC is a technology platform provider only. We are not an employment agency, employer, labor broker, or joint employer of any Freelancer. We do not supervise, direct, control, or monitor Freelancers' work, nor do we guarantee the quality, safety, legality, or delivery of any services or deliverables.

2. Third-Party Financial & Compliance Services

TaskHub LLC operates strictly as a software layer. We are not a bank, money transmitter, escrow agent, or financial institution.

Payment Clearance & Processing

All payment clearance, funds management, and payout processing are handled entirely by our integrated, secure third-party payment processors (e.g., Stripe, Square, Dots, etc). To receive or make payments, you must agree to the respective third-party processor's terms of service.

No Financial Storage

TaskHub LLC does not collect, process, or store sensitive financial account details, bank routing numbers, or credit card numbers on its systems.

KYC & Identity Verification

To comply with global anti-money laundering (AML) and Know Your Customer (KYC) regulations, identity verification is managed directly by specialized third-party compliance providers. You agree to provide accurate identification data to these providers as required.

Tax Reporting

All statutory tax documentation and reporting (such as the generation and filing of IRS Forms 1099-K or 1099-NEC) are handled directly by our third-party financial partners. TaskHub LLC does not store your Tax Identification Numbers (SSNs or EINs).

3. Account Eligibility and Security

To use our Platform, you must be a legal entity or an individual at least 18 years old capable of entering into legally binding contracts. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Independent Contractor Status

Clients and Freelancers explicitly acknowledge and agree that their relationship is strictly that of independent contracting parties.

  • Freelancers are not entitled to, and hereby waive any claims to, any benefits, workers' compensation, unemployment insurance, or perks from TaskHub LLC or the Client.
  • Freelancers retain absolute discretion over how, when, and where they perform their services, provided they meet the agreed-upon task parameters.

5. Intellectual Property (IP) Transfer

Unless otherwise explicitly negotiated and agreed upon in writing between a Client and a Freelancer for a specific project:

The Default Rule

Upon the Client's full and final payment for a completed task or milestone, all intellectual property rights, titles, and interests in the work product and deliverables automatically transfer from the Freelancer to the Client.

Platform License

Users grant TaskHub LLC a perpetual, non-exclusive, royalty-free, worldwide license to host, display, and transmit project parameters, messages, and metadata solely for the purpose of operating, maintaining, and improving the Platform.

6. Platform Fees and Non-Circumvention

Fees

The specific fees applicable to your use of the Platform will be discussed and established during the onboarding process for service providers, freelancers, and clients. These fees are assessed and charged for the various software solutions, platform architecture, and administrative services that TaskHub LLC provides. All agreed-upon fees will be automatically deducted or processed through our integrated third-party payment processor.

Non-Circumvention

To protect our marketplace ecosystem, Users agree to process all payments for relationships established through TaskHub LLC strictly through the Platform's designated third-party payment infrastructure. You are strictly prohibited from soliciting, offering, or accepting payments outside the Platform to circumvent platform fees. Violations may result in immediate account termination.

7. Limitation of Liability & Indemnification

Limitation of Liability

To the maximum extent permitted by law, TaskHub LLC, its affiliates, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. In no event shall our total aggregate liability exceed the total fees paid by you to TaskHub LLC in the six (6) months preceding the event giving rise to the claim.

User-to-User Disputes

Any disputes regarding payment amounts, deliverables quality, deadlines, or breaches of contract are strictly between the Client and the Freelancer. You release TaskHub LLC from any and all claims arising out of such disputes.

Indemnification

You agree to indemnify, defend, and hold harmless TaskHub LLC from any claims, liabilities, damages, or costs (including legal fees) arising from your misuse of the Platform, violation of these Terms, breach of contractor classification laws, or infringement of any intellectual property rights.

8. Termination

We reserve the right, in our sole discretion, to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice, including for violations of these Terms, non-payment of fees, or activities that pose a security risk to the marketplace.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of State of Wyoming without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively through binding, individual arbitration, and you waive your right to participate in a class-action lawsuit or jury trial.

10. Changes to These Terms

We may update these Terms from time to time. If we make material modifications, we will notify you by updating the "Last Updated" date. Your continued use of the Platform after such updates constitutes your acceptance of the revised Terms.
